Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the CovaNet Flow platform ("Service") operated by CovaNet UK Ltd ("CovaNet", "we", "us", "our"), a company registered in England and Wales.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of service

CovaNet Flow is a cloud-based virtual patch panel for live video streaming. The Service allows users to ingest live video streams from encoders, route them to multiple destinations such as streaming platforms, and manage routing configurations through a web-based interface.

The Service is provided on a subscription basis with multiple tiers offering different levels of functionality. The features and limits of each tier are described on our pricing page and may be updated from time to time.

3. Account registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at info@covanet.co.uk if you become aware of any unauthorised use of your account.

You must be at least 18 years of age to create an account. We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our discretion.

4. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for all content that you stream, record, or distribute through the Service.

You agree not to use the Service to stream, record, store, or distribute any content that:

  • Is illegal under the laws of England and Wales or the United Kingdom, including but not limited to content that breaches the Obscene Publications Act 1959, the Terrorism Act 2006, or the Computer Misuse Act 1990.
  • Is sexually explicit, including pornographic material, obscene content, or content depicting sexual exploitation or abuse.
  • Promotes, encourages, or glorifies violence, terrorism, or violent extremism.
  • Constitutes or promotes illegal political content, including content that would constitute an offence under UK electoral law or content promoting proscribed organisations.
  • Brings or is likely to bring CovaNet, its affiliates, or its partners into disrepute.
  • Constitutes hate speech, including content that promotes hatred or discrimination against individuals or groups based on protected characteristics as defined by the Equality Act 2010.
  • Infringes the intellectual property rights of any third party, including copyright, trademark, or other proprietary rights.
  • Contains malware, viruses, or any other harmful code designed to disrupt, damage, or gain unauthorised access to computer systems.

You must not attempt to gain unauthorised access to the Service, its servers, or any systems connected to the Service. You must not use the Service in any way that could damage, disable, or impair the Service.

5. Suspension and termination

We reserve the right to suspend or terminate your access to the Service, without prior notice, if we reasonably believe that:

  • You have violated these Terms or our acceptable use policy.
  • Your use of the Service poses a risk to the Service, other users, or third parties.
  • Your account has been inactive for an extended period, subject to reasonable notice.
  • We are required to do so by law or in response to a valid legal request.

Where reasonably practicable, we will provide notice before suspension and an opportunity to remedy the breach. In cases of serious or repeated violations, or where required by law, we may suspend or terminate access immediately.

You may terminate your account at any time through the account settings page. Upon termination, your right to use the Service ceases immediately. We may retain certain data as described in our Privacy Policy.

6. Complaints and reporting violations

If you wish to report a violation of these Terms, including prohibited content being distributed through the Service, please contact us at info@covanet.co.uk.

We commit to acknowledging all reports within 2 working days and to completing an initial review within 5 working days. Where we determine that content or conduct violates these Terms, we will take appropriate action which may include content removal, account suspension, or account termination.

If you are the subject of enforcement action and believe it was taken in error, you may appeal by writing to info@covanet.co.uk with the subject line "Enforcement Appeal". We will review appeals within 10 working days.

7. Payment and billing

Paid subscription tiers are billed monthly or annually in advance at the prices displayed on our pricing page. All prices are in British Pounds Sterling (GBP) and are inclusive of VAT where applicable.

Payments are processed securely through Stripe. By subscribing to a paid tier, you authorise us to charge your payment method on a recurring basis until you cancel.

Upgrades take effect immediately and are charged at the prorated difference. Downgrades take effect at the end of the current billing period. We do not offer refunds for partial billing periods unless required by law.

8. Intellectual property

The Service, including its design, code, branding, and documentation, is owned by CovaNet UK Ltd and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

You retain all rights to the content you stream through the Service. By using the Service, you grant CovaNet a limited licence to process your content solely for the purpose of providing the Service, including transcoding, routing, and temporary storage as technically necessary.

9. Limitation of liability

To the maximum extent permitted by law, CovaNet UK Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability to you for any claims arising from your use of the Service shall not exceed the total amount you have paid to us in the 12 months preceding the claim.

The Service is provided on an "as is" and "as available" basis. While we strive to maintain high availability, we do not guarantee uninterrupted or error-free operation of the Service. Live streaming inherently involves risks of interruption, latency, and quality variation that are beyond our control.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

10. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these terms

We may update these Terms from time to time. Where changes are material, we will notify you by email or by placing a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those Terms. If you do not agree with the updated Terms, you must stop using the Service and close your account.

12. General provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CovaNet regarding your use of the Service.
